</html>

Just position your DIV to wherever you want using CSS positioning and then place the ContentPlaceHolder there.

<div>
      <div style=" width:200px; height:200px; background-color:Blue; left:0px; position:absolute; top: 0px;">
      FIRST DIV
      </div>
      <div style=" width:200px; height:200px; left:200px; position:absolute; top: -1px;">
      SECOND DIV<br />
        <asp:ContentPlaceHolder ID="ContentPlaceHolder1" runat="server">

        </asp:ContentPlaceHolder>
      </div>
    </div>
